These terms are the agreement between you and Scratchpad.sh ("Scratchpad", "we") for using scratchpad.sh, app.scratchpad.sh and the published pages on scratchpad.to. By creating an account, you agree to them, to our privacy policy and to our acceptable use policy.

Your account
- You need to be at least 18, or the age of majority where you live.
- Give us a real email address and keep it up to date. It's how you sign in, reset your password and hear from us about your account.
- Keep your password safe. You're responsible for what happens in your account. Tell us right away if you think someone else has gotten in.
The free trial
- A trial lasts 7 days and needs a payment card to start.
- During the trial you get 75 AI assistant messages, with no limit if you add your own AI key, and 5 voice memo transcriptions of up to 2 minutes each. Share links, invitations, publishing notes, connecting apps such as Claude, and the API aren't available until your first payment.
- We email you 2 days before your trial ends and again the day before.
- If you don't cancel before the trial ends, your plan starts and your card is charged for the first month. Cancel before then and you won't be charged.
- One free trial per person.

- Prices are in US dollars. Creem adds any sales tax that applies where you live.
- Both plans include everything else in Scratchpad, including unlimited voice memo transcription, share links and invitations, publishing, connecting apps and the API.
- One assistant message is one question or request you send, however long the answer is. Unused messages don't carry over to the next month.
- On the US$9 plan, you pay your AI provider directly for what you use, under their terms. If your key stops working, we'll email you and the assistant pauses until you fix the key or switch to the US$12 plan. Your plan stays as it is.
- Plans renew automatically every month until you cancel. You can cancel at any time, and your plan keeps working until the end of the month you've paid for.
- Payments are processed by Creem, which sells the subscription to you as our merchant of record, charges any sales taxes, and appears on your statement.
- If you think a charge is wrong, email us. We handle refund requests case by case, and always as consumer protection law requires.
- If we change prices, we'll email you at least 30 days before your next renewal at the new price.
Fair use
Where a feature is unlimited, we don't count it, but it's still meant for your own notes. Using Scratchpad as a file host, a bulk transcription service or anything that slows the service down for other people isn't allowed, and we may limit an account that does.
Your content
- What you put in Scratchpad belongs to you. We don't claim any ownership of it.
- You give us permission to store, copy, process and show your content only as needed to run Scratchpad for you. For example: syncing it to your devices, making it searchable, sending it to an AI provider when you ask the assistant something, showing it to people you share it with, and making it public when you publish it.
- You're responsible for your content and for having the right to use it.
Sharing and publishing
Anyone with a share link can open that note with the permission you gave the link, whether or not you meant them to have it. Published notes are public, and copies can outlive unpublishing. Publish only what you're comfortable with the whole world seeing. We may remove published pages or disable share links that break these terms.
Acceptable use
Everything you do in Scratchpad has to follow our acceptable use policy. It lists what isn't allowed, from illegal content to spam, and what we do about it.
The AI assistant
The assistant's answers come from AI models and can be wrong, incomplete or out of date. Check anything important before you rely on it. The assistant doesn't change your notes unless you accept the change.
Locked notes
A locked note's text is encrypted with its password. We can't open it or recover it for you. If you lose the password, the note is gone for good. Its name, the wording of its reminders, and the pictures and files in it aren't encrypted.
Keeping the service running
We work hard to keep Scratchpad available and to back it up, but we can't promise it will always be available or free of errors. Features may change over time. Export anything you can't afford to lose now and then.
Closing an account
- You can stop using Scratchpad and cancel your plan whenever you like.
- We may suspend or close an account that breaks these terms or the acceptable use policy, doesn't pay, puts the service or other people at risk, or when the law requires it. When we can, we'll tell you why and give you a chance to export your notes first. We won't when the content is illegal or the law doesn't allow it.
Liability
Scratchpad is provided as it is. To the extent the law allows, we aren't liable for indirect or consequential losses, or for lost data or profits, and our total liability for any claim is limited to what you paid us in the 12 months before it.
Nothing in these terms limits rights you have under consumer protection laws that apply to you, including Quebec's Consumer Protection Act.
Changes to these terms
We'll update the date at the top when these terms change. For a change that matters, we'll email you at least 30 days before it takes effect. If you keep using Scratchpad after that, the new terms apply.
The law that applies
These terms are governed by the laws of Quebec and the federal laws of Canada that apply there. Any dispute goes to the courts of the district of Montreal, unless consumer protection law gives you the right to go to the courts where you live.
